Terms and Conditions

Effective Date: January 1, 2026  |  Last Updated: September 29, 2026

These Terms and Conditions ("Terms") form a legally binding contract between you ("The Client") and XRYTE BYTE TECHNOLOGIES LLC, a Wyoming limited liability company ("We", "Us", "Our", or "The Company").

Acceptance of these Terms occurs upon signing our Branding, Hosting, Website Design, Website Development, SEO, CRM, or Support Agreements, submitting payment for an invoice, or accessing our services via https://xryte.com.

1. Definitions & Scope of Services

  • The Client: Any individual, business, or corporate entity purchasing digital services or software solutions from the Company.
  • The Company: XRYTE BYTE TECHNOLOGIES LLC, operating under the laws of the State of Wyoming, USA.

Scope: Projects may encompass branding, technology consulting, UI/UX graphic design, website design, web/mobile application development, CRM automations, cloud hosting, and search engine optimization (SEO).

2. Mutual Obligations

The Client Agrees To:

  • Provide the Company with all requested assets, including text, media, database access, and brand guidelines, within a commercially reasonable timeframe.
  • Review interim milestones, provide timely feedback, and formally sign off on approved work.
  • Adhere strictly to the project schedule and milestones agreed upon in writing.
  • Remit all fees in accordance with the payment schedule outlined on our pricing page or within individual Statements of Work (SOW).
  • Clearly designate proprietary or confidential materials in writing.
  • Provide at least thirty (30) days' written notice via email to cancel custom bespoke retainers or Statements of Work (SOW), or at least forty-eight (48) hours' written notice prior to renewal for automated self-service monthly website maintenance subscriptions.

The Company Agrees To:

  • Deliver professional, industry-standard digital development and consulting services.
  • Make commercially reasonable efforts to hit all agreed-upon project delivery milestones.
  • Provide up to two (2) rounds of major revisions to design mockups, layouts, and style guides. Additional revision requests beyond this scope will be billed separately at standard hourly rates.
  • Address bug fixes, website revisions, or minor operational adjustments within forty-eight (48) hours whenever technically feasible.
  • Contact the Client prior to the expiration of any twelve (12) month service cycle to review ongoing maintenance and optimization options.

3. Website Design & Technical Compatibility

  • Websites and digital interfaces are engineered to perform across modern, actively supported web browsers and operating systems.
  • The Company does not guarantee compatibility with obsolete, legacy, or end-of-life browsers (e.g., Internet Explorer, outdated legacy mobile browsers).
  • Long-term cross-browser compatibility cannot be guaranteed against breaking changes introduced by third-party browser updates, external plug-in deprecations, or open-source script modifications made after final launch.

4. Application Development, Databases & Third-Party APIs

  • The Client must thoroughly test all custom applications, databases, and e-commerce checkouts in a staging environment prior to authorising production deployment.
  • The Company endeavors to correct reproducible software bugs identified within thirty (30) days following public deployment. The Company is not obligated to provide indefinite bug fixing or maintenance without an active support retainer.
  • For applications hosted on client-managed or external cloud servers (e.g., AWS, DigitalOcean, external cPanel), the Client assumes full responsibility for operational server maintenance, OS patches, and software licenses.
  • The Company is not liable for service interruptions, downtime, or functional failures caused by third-party APIs (including Stripe, Twilio, OpenAI, Meta, Google, or CRM providers).

5. Search Engine Optimization (SEO)

  • SEO recommendations are provided following a comprehensive gap and keyword analysis. All technical implementations require full client cooperation.
  • Technical development or content generation exceeding forty (40) man-hours will be billed on a time-and-materials basis.
  • Secure administrative access (FTP/SFTP, CMS, DNS, and Search Console) must be granted to the Company.
  • SEO campaigns focus strictly on organic search algorithms. Measurable indexing and search visibility shifts generally require 4 to 6 weeks of continuous deployment.
  • The Company does not guarantee specific keyword rank positions, lead conversions, or instant top-tier search results. Termination of active SEO retainers requires sixty (60) days' advance written notice.

6. Marketing Automation & TCPA / CAN-SPAM Compliance

  • If the Client utilizes the Company's CRM setups, SMS automation workflows, or email marketing funnels, the Client warrants that all recipient phone numbers, email addresses, and subscriber data were acquired with prior express written consent.
  • The Client agrees to comply fully with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all international telecommunications regulations.
  • The Client assumes sole legal liability and agrees to indemnify, defend, and hold harmless XRYTE BYTE TECHNOLOGIES LLC against any administrative fines, regulatory penalties, or civil lawsuits arising from unsolicited communications sent through systems configured for the Client.

7. Intellectual Property & Portfolio Rights

  • Client Materials: The Client warrants that all text, graphics, trademarks, and media provided to the Company are legally owned by the Client or licensed with proper permissions. The Client agrees to hold the Company harmless against any third-party copyright or trademark infringement claims.
  • Bespoke Deliverables: Upon full and final settlement of all applicable invoices, full legal copyright and title to custom, bespoke design and code assets created specifically for the Client are assigned to the Client.
  • Pre-Existing IP: The Company exclusively retains all rights, title, and ownership in proprietary code libraries, generic frameworks, pre-configured automation recipes, workflows, and developer tools ("Pre-Existing IP"). The Company grants the Client a non-exclusive, perpetual license to use such Pre-Existing IP strictly as incorporated within the final deliverable.
  • Portfolio Display: The Company reserves the right to display completed visual work and case summaries in our professional portfolio and to maintain a discrete credit link in the website footer unless otherwise agreed upon in a formal Non-Disclosure Agreement (NDA).

  • Class Action Waiver: THE CLIENT WAIVES ANY RIGHT TO LITIGATE CLAIMS ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS THROUGH ARBITRATION.

11. Severability & Contact Information
